1. Agreement to Terms

By accessing or using the Cozy Sites website (cozysites.me) or subscribing to our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Cozy Sites is operated by Cozy Empire ("we," "us," or "our").

2. Services

Cozy Sites provides website design, hosting, and maintenance services for small businesses. Our service includes:

• Custom-coded website (not a template)
• Mobile responsive design
• Web hosting
• Domain name (one domain included; supports new registration or transfer of your existing domain)
• Up to 3 custom forwarding email addresses on your domain (e.g. info@yourbusiness.com, forwarded to your personal inbox)
• Content edits and updates
• Contact form setup
• Ongoing technical support

Website content, design, and imagery are generated using AI systems (including Anthropic's Claude and xAI's Grok models) based on the information you provide during onboarding, and are reviewed through our quality-assurance process before launch. You review and approve your site, and unlimited edits are included if anything needs to change.

3. Subscription & Billing

Our service is offered on a monthly subscription basis at $25/month. By subscribing, you authorize us to charge your payment method on a recurring monthly basis through our payment processor, Stripe.

• No setup fees. There are no upfront costs to get started.
• No contracts. You may cancel your subscription at any time.
• Cancellation. To cancel, email us at cozyempire87@gmail.com or use the billing management link in your Stripe welcome email. Your website will remain active through the end of your current billing cycle. After that, your site will be taken offline.
• Satisfaction guarantee. If you are not satisfied with your initial website build, notify us in writing within 14 days of launch and we will either revise the site at no additional cost or refund your first month's payment in full. This guarantee applies once per subscription and covers the first month only.
• Refunds beyond the satisfaction guarantee. We do not offer refunds for partial months of service. If you cancel, you will not be billed for future months.
• Price changes. We reserve the right to change pricing with 30 days' advance notice via email. Existing subscribers will be honored at their current rate until renewal.

4. Domain Ownership & Transfer Policy

When you subscribe to CozySites, we register your chosen domain name (e.g. yourbusiness.com) through our domain registrar partner (Cloudflare Registrar) and pay all registration and renewal fees on your behalf for as long as your subscription remains active. The cost of your domain is included in your $25/month subscription at no extra charge, regardless of which TLD you select from our approved list.

4.1 Domain Ownership During Active Subscription

While your subscription is active, the domain is registered in CozySites' registrar account with your business name, address, and contact information recorded as the registrant. You are the beneficial owner of the domain for purposes of the website service. CozySites maintains administrative control of the domain to manage DNS, SSL certificates, and renewals on your behalf.

4.2 If You Cancel But Want to Keep Your Domain

If you cancel your CozySites subscription but wish to retain your domain name and transfer it to a registrar of your choice (Porkbun, Namecheap, GoDaddy, etc.), you must do the following:

1. Submit a domain transfer request through our contact form at cozysites.me or by emailing cozyempire87@gmail.com.
2. Pay a one-time domain transfer fee equal to the actual cost CozySites paid for the domain. This is calculated as: one year's registration cost + any renewal years CozySites has already paid on your behalf. For example, a .com domain that CozySites paid $9.15 to register and renewed once for $9.15 would cost $18.30 to transfer out. Premium TLDs (e.g. .studio, .photo) cost more — your transfer-out invoice will reflect the actual amounts paid.
3. Once payment clears, we will initiate the transfer to your chosen registrar within five (5) business days. You will receive an EPP authorization code to complete the transfer on the receiving registrar's side.

4.3 If You Cancel and Do Not Want the Domain

If you cancel your subscription and do not wish to retain the domain, simply cancel your subscription and take no further action. CozySites will allow the domain to expire at its next renewal date. You owe nothing further. You will no longer be able to claim the domain after expiration unless you re-register it on the open market (subject to availability and current registry pricing).

4.4 Domain Costs Are Not Refundable

If you cancel within the satisfaction guarantee window described in Section 3 (14 days from launch), the subscription portion of your payment is refundable as described in Section 3. However, the domain registration cost paid to our registrar (and not retained by CozySites as profit) is not refundable, since the domain has already been registered in your name and cannot be un-registered. You may still claim the domain by following the transfer process in Section 4.2.

4.5 Supported TLDs

CozySites supports approximately 50 top-level domain extensions, including .com, .net, .org, .co, .me, .xyz, .dev, .app, .blog, and many others. Premium domains (single-word or otherwise high-value names that the registry sets at a premium price) are not included in the standard subscription and require a separate one-time payment if you wish to register one.

5. Website Ownership & Content

• You retain ownership of all content you provide (text, images, logos, etc.).
• We retain ownership of the underlying website code, design, and any reusable components we create.
• We may display a "Website built by Cozy Sites" credit in the footer of your site.
• Upon cancellation, you may request a copy of your own content. Source code and design assets created by us are not transferable as part of the standard subscription.

6. Your Responsibilities

You agree to:

• Provide accurate and complete information during onboarding.
• Ensure that all content you provide does not infringe on any third-party rights.
• Not use our services for any unlawful, harmful, or fraudulent purpose.
• Not submit content that is defamatory, obscene, hateful, or threatening.
• Respond to our communications in a timely manner during the website build process.

7. Referral Program

Our referral program allows subscribers and approved partners to earn recurring monthly commissions by referring new customers. Referral terms:

• Standard partners earn $2.50/month for each active referred subscriber, for as long as they remain subscribed. There is no expiry on standard referral earnings.
• VIP partners (by invitation only) earn a custom rate — typically $5.00/month per active referred subscriber. VIP status is granted at our sole discretion. There is no expiry on VIP referral earnings.
• Referred customers receive $5.00 off per month for their first 3 months when subscribing with a valid referral code. This discount is applied automatically at checkout.
• Earnings accrue only while the referred subscriber's account remains active and in good standing.
• Referral commissions are paid monthly via USDC on the Solana network (sent to a Solana wallet address you provide) or via CashApp (sent to a $cashtag you provide). PayPal is not supported.
• Payouts are sent manually by us, typically on or around the 1st of each month. We are not liable for blockchain network delays or CashApp processing times.
• We reserve the right to modify rates, payout methods, or discontinue the referral program at any time with reasonable notice to participants.
• Abuse of the referral program (fake accounts, self-referrals, fraudulent signups, etc.) will result in forfeiture of all earned commissions and possible account termination.

8. Service Availability

While we strive for maximum uptime, we do not guarantee 100% availability. We are not liable for any downtime caused by hosting providers, DNS issues, third-party services, or circumstances beyond our control. We will make reasonable efforts to resolve any outages promptly.

9. Limitation of Liability

To the maximum extent permitted by law, Cozy Sites and Cozy Empire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of our services.

Our total liability shall not exceed the amount you paid us in the 3 months preceding the event giving rise to the claim.

10. Termination

We reserve the right to suspend or terminate your account and website if:

• You violate these Terms.
• Your payment method fails and is not resolved within 7 days.
• You use the service for unlawful purposes.
• Your website content violates our acceptable use standards.

In addition to the above, CozySites reserves the right to cancel any subscription at our sole discretion, with or without cause, by providing notice via email. If we cancel your subscription under this clause, we will refund any payment you made for the current billing month, prorated or in full at our discretion. Service will continue through the end of the refunded period, after which your website will be taken offline. Domain handling in this case will follow the same process as a customer-initiated cancellation, described in Sections 4.2 and 4.3.

11. Modifications to Terms

We may update these Terms from time to time. We will notify subscribers of material changes via email. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the State of Kentucky, without regard to conflict of law principles.
